Terms of Service

Account Registration: You must create an account to use GnistAI. You agree to provide accurate, up-to-date information and keep your login credentials secure. Accounts (and any subscriptions or credits associated with them) are personal and non-transferable. You are responsible for all activity under your account.

Credit Wallet System: GnistAI uses a credit-based system for access to AI features. Upon purchasing or receiving credits, they will be added to your account's digital wallet. Credits are a prepaid usage allowance and not actual currency. In particular:

• No Cash Value & Non-Transferable: Credits are not legal tender, not refundable for cash, and not transferable to other users or accounts. They exist solely for use within GnistAI's services. Any attempt to sell, trade, or transfer credits is prohibited and may result in cancellation of the credits or account suspension without refund.
• Expiration of Credits: Credits expire 12 months after purchase or issuance if unused. For example, if you buy credits on January 1, 2025, any remaining balance from that purchase will expire on January 1, 2026. Expired credits are forfeited and cannot be reinstated. GnistAI may, at its discretion, specify different expiration periods for promotional or free credits (which will be stated at the time of issuance).
• Dynamic Pricing & Usage Rates: The Service may charge different credit amounts for different features or usage levels. For instance, advanced or premium features might deduct a higher number of credits per use than basic features. Pricing in credits may be adjusted from time to time and GnistAI reserves the right to introduce feature-specific credit rates or promotions. We will endeavor to notify users of significant pricing changes, but it is your responsibility to review the current credit costs for the features you use. Using a feature constitutes acceptance of its credit cost.
• Credit Balance and Errors: You are responsible for monitoring your credit balance. GnistAI's interface will display your remaining credits; if you believe there is an error in credit deductions or additions, you must contact us promptly. Otherwise, the balance shown in your account will be deemed accurate. Note that your credit wallet is not a bank account or payment instrument and solely reflects prepaid usage credits.

Purchases and Payments: Purchasing credits or subscriptions (if offered) will require a valid payment method. All sales are final – GnistAI generally does not provide refunds for purchased credits or subscription fees once payment is processed. Please review your order carefully before confirming a purchase. In cases of technical issues with the Service, GnistAI may, at its discretion, offer replacement credits or other remedies, but this is not guaranteed.

Cancellation & Refund Policy: If you subscribe to any paid plan, you may cancel auto-renewal at any time. Cancellation will prevent future billing and take effect at the end of the current billing period – you will retain access to paid features until that period ends, but no pro-rated refunds are given for the remaining period. For one-time credit purchases, since all sales are final, refunds are not provided once credits are delivered (except where required by law). Note for EU customers: By purchasing digital content (credits or access to GnistAI's AI services), you agree that the service is provided immediately and waive the 14-day withdrawal right that might otherwise apply. GnistAI includes this policy to prevent abuse of the platform's instant-delivery model for AI services. During checkout, you will be asked to confirm this waiver via a separate checkbox, ensuring your express consent to begin immediate performance.

Anti-Abuse Measures: GnistAI maintains a fair use policy. Any attempt to abuse the credit system or cancellation policies is strictly prohibited. This includes fraudulent disputes/chargebacks after consuming credits, creating multiple accounts to obtain free credits or trials, or other manipulative behavior. GnistAI reserves the right to suspend or terminate accounts engaged in fraud or abuse, immediately and without notice. In such cases, remaining credits may be forfeited and no refund will be issued. We also reserve the right to deny or limit free promotional credits to prevent abuse (for example, limiting one free trial per person).

By using GnistAI, you agree to use the Service in a lawful and respectful manner. You may not use our Services for any illegal, harmful, fraudulent, or abusive activities. We have a zero-tolerance policy for misuse. Specifically, you agree not to:

• Break the Law or Violate Rights: Do not use GnistAI in any way that violates any applicable laws or regulations, or that infringes upon the rights of others. This includes intellectual property rights (copyright, trademark, etc.) and privacy/publicity rights. You must only input content that you have the right to use – for example, you are permitted to input personal data about yourself or about third parties if you have lawful basis or permission. Do not upload confidential data or sensitive personal details about others without consent. You represent and warrant that your inputs and use of GnistAI won't violate any law or anyone's rights.
• Harassment, Harm, or Hate: Do not use the Service to harass, threaten, defame, bully, or stalk others. You may not generate content that is unlawful, libelous, obscene, or promotes hatred, violence, or discrimination against any group. GnistAI is designed for constructive purposes; using it to spread misinformation, engage in fraud, or facilitate wrongdoing is strictly prohibited.
• Circumvent or Abuse the System: Do not attempt to interfere with, disrupt, or undermine the normal operation and security of GnistAI. This includes no attempting to hack the Service, introduce malware, or bypass any access controls or usage limits. For example, you must not try to artificially inflate your credits, evade usage caps, use bots or scripts to spam the service, or exploit any vulnerabilities. Similarly, you may not attempt to reverse-engineer or decompile the GnistAI platform or its AI Agents. Any form of automated data extraction or scraping of outputs beyond normal usage is disallowed.
• Impersonation or Misrepresentation: You must not impersonate any person or entity or falsely state an affiliation with any person or entity while using GnistAI. If you publish content generated by GnistAI, you should not mislead others to think the content was human-generated if it wasn't (in line with emerging best practices). Honesty about AI-generated content helps maintain transparency.
• Fraudulent Behavior: You may not use GnistAI to engage in fraud, phishing, or other deceptive practices. This includes attempting to use stolen payment methods, committing credit card fraud to purchase credits, or using the AI to generate phishing emails, spam, or any content in furtherance of unlawful schemes. GnistAI may monitor usage (including inputs and outputs) for signs of abuse or violations, and we reserve the right to investigate and take appropriate action.
• Sexual Depiction of Minors: Any textual or visual content depicting minors in a sexual context (or any content that suggests sexual exploitation of minors) is absolutely prohibited. Violations will result in immediate account termination and may be reported to law enforcement.
• Malicious Deepfakes or Non-Consensual Imagery: You may not use GnistAI to create deceptive or harmful deepfakes (e.g., disinformation, revenge porn, blackmail) or other non-consensual imagery. We reserve the right to suspend or terminate accounts that engage in harmful or exploitative use of our AI tools.
• Third-Party Model Restrictions: While GnistAI's policy toward mature or adult content is generally liberal, some of our underlying AI model providers may block or refuse content they deem contrary to their own moderation standards (e.g., excessively graphic sexual content, extreme violence). Users acknowledge that GnistAI cannot override these third-party filters.

Moderation & Enforcement: We deploy moderation tools and processes ("Moderation") to help ensure compliance with these rules and applicable law. Violation of this Acceptable Use Policy may result in suspension or termination of your access to GnistAI. In serious cases (for example, evidence of fraud, illegal activity, content depicting sexual exploitation of minors, or credible threats), such suspension or termination may be immediate and without prior notice. We may also delete any offending content, and if necessary, report the activity to law enforcement. GnistAI will not be liable for any loss of data or credits resulting from enforcement actions due to your violation of these rules. If you suspect or encounter content that violates these policies, please report it to us at [email protected].

GnistAI provides AI-generated responses and content based on user inputs. By its nature, AI content can be unpredictable and may not always be accurate. We want to be transparent about the capabilities and limitations of our AI:

• No Guarantee of Accuracy: While GnistAI's AI is advanced, it may occasionally generate incorrect or misleading information. The content you receive is generated by algorithms and could contain errors, omissions, or factual inaccuracies. We do not warrant or promise that the AI's outputs will be correct, reliable, or error-free. GnistAI's responses are provided for general informational and entertainment purposes on an "as is" basis. Always independently verify important or sensitive information. For example, if the AI provides a historical fact, a piece of advice, or a scientific explanation, you should double-check critical details from authoritative sources before relying on it. Remember that OpenAI itself, one of our primary AI providers, warns users that its AI "may occasionally generate incorrect information" – the same applies to GnistAI.
• No Professional or Expert Advice: GnistAI is not a substitute for professional advice. The AI might produce content that sounds helpful in areas like law, medicine, finance, or other professional domains. However, you accept and agree that you will not rely on any output as a sole source of truth or advice. Always consult a qualified professional for advice pertaining to legal matters, health and medical issues, financial decisions, etc. For example, if the AI gives medical-related guidance, you must not treat it as medical advice or delay seeking a doctor because of it. Likewise, no attorney-client or doctor-patient relationship is formed by any interactions with GnistAI. GnistAI is not a healthcare or medical device provider and our services should not be considered medical or other professional services. Similarly, GnistAI's outputs do not constitute professional advice in any field. You are solely responsible for how you use or act on the AI's information.
• Potentially Inappropriate Content: The AI generates content based on patterns in data. It is possible (though not intended) that sometimes outputs could be biased, inappropriate, or offensive. GnistAI has content filters, but we disclaim liability for any content the AI may generate that you find undesirable or harmful. If you encounter any output that violates our policies or is harmful, please stop using it and report it to GnistAI support. You must use your discretion when viewing or sharing AI outputs.
• User Responsibility:Your use of the Service and reliance on any AI-generated content is at your own risk. GnistAI (and its parent company) will not be liable for any consequences of actions you take (or fail to take) based on AI-generated content. For example, if you use GnistAI's output as basis for a business decision, personal decision, or any action, you assume full responsibility for the outcomes. Always apply common sense and do not rely on the AI as the sole basis for critical decisions. If you're ever in a situation where erroneous content from the AI could result in harm (such as medical or legal scenarios, or emergencies), do not use GnistAI for that purpose – seek a human professional instead. (In an emergency (medical, mental health, etc.), call appropriate emergency services; do not use an AI chatbot).
• Disclaimer of Warranties: To summarize, GnistAI provides the Service and all AI outputs "as is" and without any warranty. We expressly disclaim all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will meet your requirements or expectations, that it will be uninterrupted, timely, secure, or error-free, or that the results (outputs) will be accurate or reliable. GnistAI makes no guarantee that any defects or errors will be corrected. You understand that AI technology is evolving and outcomes may vary. Some jurisdictions do not allow the exclusion of certain warranties, so some of these disclaimers may not apply to you to the extent prohibited by law, but in such cases our warranties are limited to the fullest extent permitted.

By using GnistAI, you acknowledge these inherent limitations and risks of AI-generated content. GnistAI (the company) shall not be held responsible for any harm or loss arising from your reliance on the Service's outputs. If you are dissatisfied with any aspect of the Service or these Terms, your sole remedy is to discontinue use of GnistAI.

GnistAI integrates with or relies on certain third-party services to provide a seamless experience. Examples include:

• External APIs: We may incorporate third-party APIs such as Google services (e.g., for calendars and tasks, etc.) to enhance AI responses, or other AI model providers (like OpenAI or Anthropic) as part of GnistAI's functionality.
• Payment Processing:Stripe (or a similar payment processor) is used to handle credit card payments and subscription billing on our behalf. When you purchase credits or a subscription, your payment details are processed securely by such third-party payment providers, not directly by GnistAI.

Third-Party Terms: Any third-party services or content that GnistAI uses are subject to those third parties' own terms and policies. By using GnistAI, you agree to comply with any relevant third-party terms when you access features powered by those services. For example, using a feature that includes Google Maps or data implies agreement with Google's API terms; making payments implies agreement with Stripe's terms and privacy policy. Although these third-party services are integrated into GnistAI, they are provided by independent providers, not by GnistAI itself.

No Control or Warranty for Third-Party Services: GnistAI does not control and is not responsible for the acts or omissions of third-party providers. We make no representation or warranty regarding the availability, quality, or safety of third-party services. For instance, if a Google API fails to return expected data, or if Stripe's systems experience an outage, that is beyond GnistAI's control. You acknowledge that any Third-Party Services are provided "as is" by their respective owners, and GnistAI disclaims liability for any issues arising from Third-Party Services. This includes any inaccuracies in data provided by third parties, downtime or errors caused by third-party systems, or any breaches of data that occur on those platforms.

Data Sharing with Third Parties: To facilitate these integrations, GnistAI may share certain limited information with the third-party services as necessary. For example, when processing a payment, we transmit your billing info to Stripe; when using a Google service, we may send the query or necessary data to Google's servers. By using GnistAI, you consent to our use and transfer of data to third parties as required to operate such features. Rest assured, we only share data that is needed, and such sharing is governed by our Privacy Policy and data protection laws (see Section 5). We do not sell your personal data to any third-party services.

Your Responsibilities: If you access any external links or third-party content via GnistAI (for example, if the AI provides a reference link or we offer a plugin to an outside service), you do so at your own risk. When leaving the GnistAI interface to visit a third-party site, their terms and privacy policies will apply, not ours. It is your responsibility to review those terms. GnistAI isn't liable for anything that happens on third-party platforms, even if a GnistAI link or feature led you there.

In short, we aim to integrate useful third-party tools to improve your experience, but any third-party components are ultimately between you and that provider. If any third-party service ceases to be available or causes issues, GnistAI may modify or remove the integration without liability to you.

Your privacy matters to us. Our Privacy Policy (available on our website here) details how we handle your personal data. By using our Services, you agree to this policy. Key points include:

• Compliance with GDPR: We process personal data in accordance with GDPR and applicable European laws. GnistAI typically acts as a data controller, determining how and why your data is processed. If you're a business user processing personal data of others through our platform, GnistAI acts as a data processor, strictly following your instructions. Ensure compliance with applicable privacy laws.
• Your Responsibilities: If you provide personal data of others to GnistAI, ensure you have legal rights or consent. Business users requiring a Data Processing Agreement (DPA) should contact us directly.
• Your Data Rights: You can exercise your data rights (access, deletion, rectification, portability, objection, or restriction) directly through the GnistAI application or by contacting us, as detailed in our Privacy Policy. You also have the right to lodge complaints with your local data protection authority.
• AI Inputs & Outputs: We may use anonymized or aggregated data from your interactions to improve our services. We do not use personal data from your content for AI model training. AI-generated outputs may sometimes be inaccurate; verify critical information independently. Logs may be reviewed only for debugging, compliance, or as permitted by law.
• Data Retention & Security: By default, we retain your data indefinitely unless you request deletion. Passwords and external service credentials are encrypted at rest; broader encryption is planned. See the Privacy Policy for details.
• Cookies: Our website uses cookies to enhance your experience. Manage cookies via your browser settings; some features may not work properly if cookies are disabled.
• Children's Privacy: Our services are intended for users aged 18 or older. We do not knowingly collect data from minors. If you believe a minor under 18 has provided data, please contact us immediately.

Your Content: You may input text, prompts, or other content into GnistAI (“Input”), and receive AI-generated outputs (“Output”). Collectively, we'll refer to Input and Output as “User Content.” Youretain ownership of your Input and any proprietary rights you hold in it. Additionally, to the extent the Output is derived from or based on your Input, and to the extent permitted by law, you own the Output that GnistAI generates for you. GnistAI hereby assigns to you any rights it may have in the Output (if any are necessary to give you ownership). This means, for example, if you ask GnistAI to produce an article or image, you can use, reproduce, or modify that Output freely for personal or commercial use, as you will hold the rights to the content GnistAI created for you.

However, note that due to the nature of generative AI, similar or identical outputs may be produced for others. GnistAI cannot guarantee that the output it gives you is unique to you. In fact,other users might receive very similar results when using similar prompts. You donot have any rights to content that other users receive from GnistAI, even if it's similar to yours, and vice versa. Also, if the Output includes any portions of third-party content (e.g., a quote or common text string from a training corpus), those portions might still be under third-party ownership and your use of them should respect any applicable laws (like fair use or copyright exceptions). GnistAI's assignment of rights to you does not include any third-party content that may be contained in the Output.

License to GnistAI: In order to operate the Service, you grant GnistAI anon-exclusive, worldwide, royalty-free license to use, reproduce, modify, and process your Input and Output solely for the purposes of providing and improving the Service. For example, we may store your Input and Output so that you can retrieve them at a later time, rely on them to generate responses, troubleshoot issues, or ensure compliance with our policies. All such use of your Input/Output is subject to our Privacy Policy.

We will not use your Input/Output for any other purpose: we do not sell your content, and we do not publicly share your personal Inputs/Outputs except as needed to provide the Service or if required by law. This license is limited to those purposes and is further subject to our Privacy Policy and Usage policies. If you delete your content or account, we will cease using your content for these purposes. Please note that residual data may remain in our backup systems for a limited period before being permanently deleted, except for data that must be retained as required by law or that has been aggregated/anonymized for analytics.

GnistAI's IP: All rights, title, and interest in and to the GnistAI Service (including our software, algorithms, website, brand, logos, and underlying code) are and will remain theexclusive property of GnistAI (and its licensors, if any). The Service is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, revocable right to use the Service for its intended purpose under these Terms, but you acquire no ownership in GnistAI's intellectual property. You may not copy, reproduce, distribute, or create derivative works from our software or content (except your own User Content as described above) without our explicit permission. You also shall not remove or alter any copyright notices or branding on the interface. Any feedback or suggestions you provide to GnistAI about the service can be used by us freely and without obligation to you (we appreciate feedback and may implement it, but you agree we own any improvements or suggestions you provide).

If you violate GnistAI's intellectual property rights or use the Service beyond the permitted scope, your access may be terminated and you may be subject to legal consequences.

The following trademarks are the property of their respective owners. Use of these trademarks does not imply any affiliation with or endorsement by them unless explicitly stated.

GnistAI

“GnistAI” and the GnistAI logos are trademarks or registered trademarks of GnistAI AS. They may not be used in any manner without our prior written consent.

Google

Google, Google Calendar, Google Tasks, and related marks and logos are trademarks of Google LLC. Any reference to Google services (e.g., Google Calendar or Google Tasks) is for identification and functionality purposes only and does not imply any endorsement by Google.

Other Trademarks

All other third-party trademarks (including product names, brands, and logos) referenced on our website and in our Services remain the property of their respective owners. Such references are used solely for informational or descriptive purposes and do not imply any endorsement, sponsorship, or affiliation.

Service Uptime: GnistAI strives to maintain a reliable and accessible service. However, we do not guarantee 100% uptime or availability. There may be occasional outages, maintenance windows, or technical issues that prevent access to the Service. We do not warrant that the Service will be uninterrupted or always available at any given time. We will try to perform maintenance during off-peak hours and, when possible, to notify users of scheduled downtime, but reserve the right to take the service offline without notice for urgent fixes. GnistAI is not liable for any losses or inconvenience caused by Service unavailability, slow performance, or errors. This includes any loss of data or progress due to service interruptions. We recommend that you keep backup copies of any important content (e.g., copy any important AI-generated text you wish to save) as we cannot guarantee data retention in the event of a system failure.

Data Security: We take security seriously and implement commercially reasonable measures to protect your data. This includes encryption in transit, secure cloud infrastructure, and regular security assessments. However, no online service can be completely secure, and we do not warrant that the Service is immune to data breaches or unauthorized access. You agree that you will not hold GnistAI responsible for any unauthorized access or loss of data, provided we have not been grossly negligent. In the unfortunate event of a security breach that affects your personal data, we will notify you as required by law (for example, under GDPR, we would inform you of certain types of data breaches). You also play a role in security: keep your account credentials confidential and use a strong, unique password. Notify us immediately if you suspect any unauthorized use of your account. We are not liable for any damage resulting from your failure to secure your account.

Data Backup: GnistAI is not a data backup or storage service. We cannot guarantee the long-term storage of any specific content or conversation. We may implement retention limits (for example, auto-deleting chat history after a period) in accordance with our policies. It's your responsibility to save any outputs or information you wish to retain. We will not be liable for any loss or deletion of content stored on our platform.

Service Changes: We reserve the right to modify or discontinue the Service or any features at any time, either temporarily or permanently, with or without notice. GnistAI is a developing platform and we may add, remove, or change functionalities. We are not liable to you or any third party for any modification, price change, suspension, or discontinuation of the Service. If you are on a paid plan and a change materially reduces functionality, we may, at our discretion, offer a credit or refund for the remaining period. Otherwise, continued use of the changed Service constitutes acceptance.

Limitation of Liability: To the fullest extent permitted by applicable law, GnistAI and its affiliates, officers, employees, agents, suppliers, and partners shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Service or these Terms. This includes, without limitation, damages for lost profits, lost data, loss of goodwill, business interruption, or other intangible losses (even if we have been advised of the possibility of such damages). You expressly understand and agree that GnistAI is not liable for any conduct or content of any third party on the Service (including other users or third-party integrations), and not liable for any loss or damage resulting from your reliance on information or advice obtained through the Service.

If, notwithstanding the above, GnistAI is found liable to you for any damage or loss arising from or related to this Agreement or the Service, our total cumulative liability shall in no event exceed the amount you have paid GnistAI in the last 12 months (if any), or $100 USD, whichever is greater. If you have not made any payments to GnistAI (for example, you only used free credits), GnistAI's total liability will be $0, to the extent permissible by law. This limitation applies whether the claims are based on warranty, contract, tort (including negligence), or any other legal theory.

Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages. If laws applicable to you prohibit the above limitations, then those limits do not apply to you to the extent disallowed. In such cases, GnistAI's liability will be limited to the maximum extent permitted by law. Nothing in these Terms is intended to exclude or limit liability that cannot be limited under law – for example, liability for death or personal injury caused by gross negligence, or for fraud. Additionally, if you are a consumer in the EEA or a jurisdiction with specific consumer protection rights, you may be entitled to certain legal remedies that cannot be waived; these Terms do not override those rights.

Indemnification: You agree to indemnify and hold harmless GnistAI and its affiliates from any claims, losses, liabilities, and expenses (including attorneys' fees) arising out of your violation of these Terms, your misuse of the Service, or your infringement of any third-party rights. In other words, if your use of GnistAI causes us to be sued by someone else (for example, you used the AI to defame someone or to steal content and we get dragged into litigation), you will cover all costs and damages we incur. This indemnity survives termination of your account or these Terms. (We will promptly notify you of any such claim and allow you to control the defense, provided it's reasonable, and cooperate with you, at your expense, in defending the claim.)

User Termination: You are free to stop using GnistAI at any time. You may delete your account through the account settings. Account deletion is irreversible – it will remove your profile and data from our live systems (though some residual data may remain in backups for a time). If you have an active subscription and simply wish to cancel, you can do so without deleting your account (see Section 1 on Cancellation).

Termination by GnistAI: We reserve the right to suspend or terminate your access to the Service at our discretion if we believe you have violated these Terms or pose risk or harm to us or other users. This includes violations of the Acceptable Use Policy, non-payment of fees, or other misconduct. We may attempt to notify you of the violation and request corrective action, but for serious violations, termination or suspension may be immediate and without notice. In cases of termination for cause (Terms violation), you will not be entitled to any refunds of fees or credits. If we terminate without cause (for example, we decide to discontinue the Service entirely), we will refund any prepaid, unused credits or subscription fees on a pro-rata basis.

Effects of Termination: Upon termination by either party, your right to use the Service will cease immediately. Sections of these Terms that by their nature should survive termination (such as intellectual property rights, disclaimers, limitation of liability, governing law, etc.) will continue to apply. If your account is terminated, you must not attempt to create a new account without our permission. We also reserve the right to refuse service to anyone for any or no reason, to the extent permitted by law.

GnistAI may update or modify these Terms from time to time, for example to reflect changes in our Service or legal obligations. When we make changes, we will notify you by updating the "Effective Date" at the top and, for significant changes, by email or in-app notification. Updated Terms will be posted on our website, and will become effective 30 days after posting (or on the date indicated in the notice). It is your responsibility to review any new Terms. If you continue to use GnistAI after the new Terms take effect, that constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service before they take effect and, if applicable, cancel any paid subscription.

For material changes that adversely affect you, we may, at our discretion, provide a pro-rata refund of unused credits or subscriptions if you choose to terminate due to the change. However, changes driven by legal requirements or security needs may be effective immediately to comply with law or protect the Service.

Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of Norway, excluding its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be brought in the courts located in Oslo, Norway, which will have exclusive jurisdiction. You consent to the personal jurisdiction of these courts. (If you are a consumer resident in a European Union country, you may also have the right to bring proceedings in your home country under certain consumer protection laws – these Terms do not override any such rights.) The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
